This limited warranty and license agreement (the "agreement") describes your rights to use this software.  you should carefully read the following terms and conditions before using or installing this neoFootage AI software package. it contains neoFootage AI, the use of which is licensed by "Acrovid Technologies/acrovid.com", to its customers for their use only as set forth below. This license agreement is announced at the time of software installation and becomes effective when the user agrees to install the software. if you do not agree to the terms and conditions of this agreement, do not install or use the software. Installing or using the software or any part of the software indicates that you accept these terms.If you do not want to be bound by the terms of this agreement, you are unauthorized to use this software. Except as otherwise specifically provided, "Acrovid Technologies/acrovid.com" ("company") is the "licensor" of the neoFootage AI software ("the Software")  and all accompanying content and documentation including without limitation, image, video, and all other items contained on any storage or distribution medium, if any. The software may be licensed for distributing and selling to a third party vendor or dealer, In case of the software is licensed to a third party vendor or dealer for distributing and selling "Acrovid Technologies/acrovid.com" shall not be liable for any issue related to software distribution and selling, "Acrovid Technologies/acrovid.com" is only responsible of the software development and software improvement. License The licensed software neoFootage AI are provided as is without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose, or the warranty of non-infringement.  without limiting the foregoing, licensor makes no warranty that (i) the licensed software neoFootage AI will meet your requirements, (ii) the use of the licensed software neoFootage AI will be uninterrupted, timely, secure, or error-free,(iii) the results that may be obtained from the use of the software neoFootage AI will be accurate or reliable, (iv) the quality of the licensed software neoFootage AI will meet your expectations, (v) any errors in the licensed software neoFootage AI will be corrected, and/or (vi) you may use, practice, execute, or access the licensed software neoFootage AI without violating the intellectual property rights of others. some states or jurisdictions do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to you.  in jurisdictions where warranties, guarantees, representations, and/or conditions of any type may not bedisclaimed, any such warranty, guarantee, representation and/or warranty is: (1) hereby limited to the period of either (a) thirty (30) days from the date of opening the package containing the licensed software neoFootage AI or date of receiving the license key or (b) the shortest period allowed by law in the applicable jurisdiction if a thirty (30) day limitation would be unenforceable; and (2) licensors sole liability for any breach of any such warranty, guarantee, representation, and/or condition shall be to provide you with a new copy of the licensed software neoFootage AI. Use You may use the Software only on two computers owned by you, Restrictions The licensed software are protected by applicable national and international copyright laws and are also subject to trade secret laws.  you may not make, use, modify, adapt, translate, create derivative works or distribute copies of the licensed software to others or transfer the licensed software from one computer to another nor may you de-compile, reverse engineer, disassemble or otherwise reduce the licensed software to a human perceivable form.  such unauthorized use of all or any portions of the licensed software for any reason is forbidden. You may not use the licensed software to create new or additional products intended for use with the licensed software, including but not limited to content packages, intended for sale, license or distribution to licensees of the licensed software or third parties using the licensed software without the prior written consent of licensor. the original and any copies of the licensed software, in whole and in part, including translations, compilations, partial copies, modifications, and updates are the property of licensor or its suppliers. you have only the limited rights granted by this agreement. you are not an owner of a copy of the licensed software. You may not move the sofrware from the installation folder, if you need to install the software again , or install the software in another folder, then uninstall it a install it again. The Acrovid agents, licensed dealers or employees are NOT authorized to make statements conflicting with this end user license agreement. Termination you may terminate your license to the licensed software at any time by destroying the licensed software together with all copies, modifications and merged portions in any form. the license also will terminate as set forth elsewhere in this agreement if you fail to comply with any term or condition of this agreement. you agree upon such termination to destroy the licensed software, together with all copies, modifications and merged portions, in any form. Refund Policy A full featured trial version of the software is provided for free with almost no limitations on functionality, the end user can try extensively the software before deciding to buy a full version license key. After purchasing, once the license keys of the software are received by the user, by e-mail or any form of communication, it will be considered a "open box software" case, and a refund will not be issued except in exceptional cases like the user unintentionally purchasing two or more licenses, due to web failures, or similar exceptions. Limited warranty Provided you have paid the applicable license fees for the licensed software, delivery date shall be defined as either the date you download the licensed software from an authorized download site, or the date that you pay the applicable license fee to an authorized dealer as evidenced by a copy of your sales receipt.  licensor does not warrant that the documentation or the functions contained in the licensed software will meet your requirements or that the operation of the licensed software will be uninterrupted or error free. licensor's entire liability and your exclusive remedy with respect to breach of the program warranty will be the replacement of any media upon which the licensed software were originally distributed to you which do not meet the program warranty if returned to the licensor within the program's warranty period with a copy of the applicable sales receipt(s).  you are responsible for any costs, expenses, customs, duties, taxes, and/or other similar charges arising with regard to return shipment of the licensed software to the place of purchase and licensor's return of the licensed software under the program warranty.  you must pay all such costs upon invoice. No oral or written information, advice or advertisement given by licensor, its dealers, distributors, agents or employees will create a warranty or in any way increase the scope of the limited warranties set forth herein, and you agree not to rely on any such information or advertisement for such purposes. No other warranty except for the limited warranty stated above, the licensed software are provided "as is" without warranty or condition of any kind, either expressed or implied and the implied warranties and conditions of merchantability, title and fitness for a particular purpose are specifically disclaimed.  the entire risk as to the quality and performance of the licensed software is with end user.  should the media on which the licensed software were originally distributed to you prove defective, beyond the program warranty period, or due to inappropriate use, alterations or modifications by end user, end user (and not the licensor or any authorized dealer) assumes the entire cost of all necessary servicing, repair or correction. some states may not allow the exclusion of implied warranties, so the above exclusion may not apply. this warranty provides specific legal rights and the end user may also have other rights that vary from state to state. Limitation of liability In no event shall licensor or its suppliers be liable to you or any third party for any special, incidental, indirect or consequential damages of any kind, or any damages whatsoever, including, without limitation, those resulting from loss of use, data or profits, whether or not licensor had been advised of the possibility of such damages, and on any theory of liability, arising out of or in connection with the use of the licensed software.  some jurisdictions prohibit the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.  these limitations shall apply notwithstanding any failure of essential purpose of any limited remedy. on certain and rare conditions, due to external or internal reasons, the licensed software could block or freeze your computer, you shall not use the software on computers where there are data or computer files without a backup copy, a licensed software failure may cause loss of data, also you shall not use the software on computers where there are other software running which perform crucial,fundamental, unstoppable  or life risk task. the foregoing limitations of liability shall apply notwithstanding any failure of the essential purpose of any limited remedy or any claim by any other party. licensor's sole liability to you or any third party, and your sole remedy arising out of or related to this agreement however caused and on any theory of liability, whether in contract, tort (including negligence), or otherwise will not exceed the fee paid by you for the licensed software, as applicable.  some states may not allow the limitation or exclusion of liability for incidental or consequential damages so all or a portion of the above limitation or exclusion may not apply. neoFootage AI can perform automatic backups of video files, this is, copy the original files to the folder selected by the user. neoFootage AI never deletes any video or file. However, due to external copy errors, OS failures, hard disk failures, or any memory storage devive used failures, neoFootage AI does not guarantees that the backup is performed correctly. If you use the backup feature, always check that the backup video files have been copies correctly from originals and always check the backup video files integrity before deleting manually the video original files. Competent Court Any legal disputes related to the Software will be governed by a competent court with jurisdiction over the region in which Acrovid Technologies headquarters is located. In case of the Software being distributed and sold by a third party vendor, any legal disputes related to the Software distribution and selling will be governed by a competent court with jurisdiction over the region in which this third party vendor headquarters is located. TRIAL VERSION OF THE SOFTWARE There is available a trial version of licensed software for evaluation purposes. all the terms of this license agreement apply to trial version. additionally to all parts of this agreement, you are allowed to use the trial version only to evaluate the licensed software to test if the licensed software suit your requirements and achieve your intended results. It is prohibited to use the videos created by the trial version for any other use excetp personal or company evaluation, the prohibited uses include buy are not limited to: prohibited to distribute on any form or media the videos produced by trial version, prohibited to upload to any online internet site the videos produced by trial version. After the evaluation if you purchase the software, you will receive your license key and after enter it in the software it becomes registed and the part "TRIAL VERSION OF THE SOFTWARE" of this license agreement do not apply. Miscellaneous this agreement constitutes the entire agreement and understanding of licensor and end user relating to the licensed software and supersedes all prior or contemporaneous understandings, agreements, and communications, and/or advertising with respect to the program. this agreement cannot be amended, modified, or waived, unless the change is written and signed by an authorized licensor representative. if any provision of this agreement is held unenforceable by any court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this agreement shall continue in full force and effect. LGPL Third party libraries Parts if this end user license does not apply to third party libraries used in the licensed software, third party libraries are covered by their respective license agreements. For third party libraries under LGPL license you can see a copy of LGPL license on the program folder on in acrovid web site. All the source code of these LGPL libraries can be found on acrovid web site for downloading. The LGPL license grants the end used to update these libraries by replacing the dll files, the end user can found these DLL libraries in the software installation folder, to replace them, copy the new libraries to the installation folder.
